The O’Neal School Parents’ Association Bylaws
Article I: Name
The name of the Association shall be the Parents’ Association of the O’Neal School.
Article II: Purpose
The purpose of the Association shall be to give the parents of the students of the O’Neal School the opportunity to support the school through volunteer and fundraising activities. These activities shall provide enrichment to the students’ learning environment. An important function of the Association is to create a forum for the expression and exchange of ideas between the parents and the school; to provide educational programs and forums for the parents; and, to assist in the dissemination of information concerning all phases of student life at the O’Neal School. The Parents’ Association is not operated for profit and no profit shall inure to the benefit of any individual connected with the Parents’ Association except in consideration for services rendered. In the event of the dissolution of the Parents’ Association of the O’Neal School, all assets shall be conveyed to the O’Neal School (a.k.a. Sandhills Independent School Corp-63-121-R).
Article III: Members
Those eligible for membership in the Parents’ Association of the O’Neal School shall be any present parent or guardian of a child who is now enrolled in the school, faculty members or members of the Board of Trustees.
Article IV: Officers and Their Election
Section 1: The officers of the Parents’ Association shall be a President, a Vice-president, a Secretary, a Treasurer and an Immediate Past-President. These officers constitute the Executive Committee.
Section 2: All officers shall be elected at a general meeting in the spring for a term of one year. The terms will begin at the conclusion of the last Parents’ Association meeting of the school year. Between the period of time when they are elected until they take office, these officers will be referred to as the Officers-Elect.
Section 3: The Vice-president shall be elected for a period of one year to accede to the office of President for the following year.
Section 4: Vacancies, except for the office of President and Immediate Past-President, shall be filled by appointment of the Executive Committee. Vacancies in the office of President shall be filled by the Vice-president and the office of the Vice-president shall be filled by appointment of the Executive Committee.
Article V: Duties of the Officers
Section 1: The regular term of office of all officers shall begin at the adjournment of the spring general meeting at which they are elected.
Section 2: The President shall preside at all the meetings. In the absence of the President, the Vice-president shall be acting President. The President and the Executive Committee shall appoint all committee chairmen. The President shall be an ex-officio member of all committees except the Nominating Committee. The President shall act as assistant Treasurer.
Section 3: The Vice-president shall assist the President, assume the duties of the President in the absence of the President and accede to the office of President.
Section 4: The Secretary shall keep minutes of all the meetings, all Executive Committee meetings and take care of any necessary correspondence. The minutes shall be reviewed and approved by the Parents’ Association at each successive meeting and once approved shall be posted on the Parents’ Association website.
Section 5: The Treasurer shall keep an itemized account of all receipts and disbursements and present a written report at each meeting. The financial records of the Parents’ Association shall be properly summarized and submitted to the Board of Trustees of the School for inclusion in the School’s accounting records for audit at fiscal year end, as directed by the Chief Financial Officer.
Section 6: The Immediate Past-President shall serve in an advisory capacity to the President and shall serve as the chair of the Nominating Committee.
Article VI: PA Advisory Board
Section 1: The PA Advisory Board, which consists of the Executive Committee and all Committee Chairmen, shall meet no fewer than six times during the school year to report on the progress of the Association’s committees and fundraising activities. It shall make decisions concerning the development and status of the Association’s programs. These meetings are open to all members of the Parents’ Association. Notice of these meetings will be provided to the O’Neal community by e-mail and by posting on the Parents’ Association website.
Section 2: The Finance Committee is a PA Advisory Board Committee composed of the Executive Committee, the school liaisons, the Officers-Elect and any additional appointees of the President. The Finance Committee, under the direction of the Treasurer, prepares the budget for the approval of the PA Advisory Board.
Article VII: Committees
Section 1: There shall be Standing Committees with duties specified as the Executive Committee deems necessary. The President, with the advice of the Executive Committee, shall select the chairs of the Standing and Fundraising Committees as well as the liaisons to each school.
Section 2: The President shall appoint a Nominating Committee to select a slate of officers for the following term. At least one member of this committee shall be a member of the Executive Committee. The Immediate Past-President shall serve as the chair of the Nominating Committee.
Article VIII: Procedures:
Section 1: Special meetings may be called by the Executive Committee with 10 days notice having been given.
Section 2: By-laws may be adopted, amended or repealed by a two-thirds vote of those attending any meeting provided the proposed changes have been submitted to the members of the Association in writing at least two weeks before the meeting.
Section 3: The fiscal year will begin July 1st and end June 30th.
